Constitution & ByLaws

The Steelhead Community Assocation was re-incorporated under the Society Act on August 15, 2005. The following Constitution and ByLaws were filed with the Registar of Companies. Our society number is S-49560.
Constitution

1. The name of the Society is Steelhead Community Association.
2. The purposes of the Society are:
a. To acquire by purchase, donation, devise, lease, exchange or otherwise, real and personal property and to improve and develop same.
b. To administer, operate and maintain lands and premises which may from time to time to be owned or held by lease or otherwise by the Society for community, recreational, cultural, civic and other worthy purposes; but not to conduct or operate a social club.
c. To enter into contracts, agreements and other arrangements for the use of lands and premises by the public and by private organizations and persons for fees to be fixed by the Directors of the Society from time to time.
d. To supervise and arrange for activities of a recreational, athletic, cultural and community nature for the children and young people of the district as well as members of the Society with a view to providing healthful and recreational activities in and about the community.
e. To have all the powers as are contained in the Societies Act of British Columbia as amended from time to time.
f. To do all such things as in the opinion of the Directors are conducive and advantageous to the attainment of the above objects or any of them.
3. The operations of the Society are to be chiefly carried on in community residents near Mission in the Province of British Columbia. This provision is unalterable.

Bylaws

1. Any adult resident within the environs of Steelhead for a minimum of four months who is interested in promoting the common weal shall be eligible to join and participate in the various activities of said organization, regardless of race, creed or colour, so long as residence in the community is maintained.
a. Any member may resign by submitting resignation in writing to the Secretary of the Society.
b. If in the opinion of the Directors a member has broken association with the Society either by misrepresentation or wrongful behaviour of any kind, his or her membership may be suspended or withdrawn at their discretion by a two-thirds majority vote.
2. The membership fee shall be $10.00 per family, payable in July of each year.
3. The Society shall operate with and be under the control of an Executive consisting of the following: one (1) Chair
one (1) Co-Chair
one (1) Secretary
one (1) Treasurer
one (1) Social Convenor
four (4) Directors
4. The above Executive is to be elected for a period of one year at a general meeting of the organization to be held annually. Notice in writing shall be given to all members at least seven (7) days in advance.
a. The Society Executive shall retire at the next annual general meeting following the date of their election, and shall be eligible for re-election. No member of the Executive shall receive remuneration for his or her services.
b. The membership by ordinary resolution at any properly called business meeting may remove any member of the Executive before the expiration of his/her office. In such a case the Executive shall make the appointment to fill the vacancy. A person so appointed shall be subject to retirement at the same time as though he/she had been elected on the day on which the person whose place he/she is taking was elected.
5. Any member who receives of 50% of the votes of the voting members shall immediately assume office. In the event of more than two candidates for any office, a run-off election shall be held immediately until one candidate has the necessary majority. Only members in good standing shall be eligible for office. Elections shall be by ballot except in cases where only one nomination is presented.
6. On general matters in which no legal questions are involved, it is understood that all members in good and regular standing are entitled to vote who have reached the age of eighteen (18) years, but in matters involving titles to property or legal procedure, the laws of the Province determine the age at which members are eligible to vote.
a. Each family shall have one vote.
b. One-third of the membership shall constitute quorum.
7. The Executive shall be responsible for running and maintaining the various activities of the organization and a simple majority of its members shall determine the direction of that organization.
8. The Executive shall meet at least once a month to discuss the affairs of the organization, a quorum to consist of three members.
9. Special meetings of the membership may be called by a quorum of the Executive, provided notice in writing has been given to all members at least seven (7) days in advance.
10. The Chair shall have general oversight of the activities of the Society. She/he shall be the Chairman of the Executive and presiding officer at all regular or special meetings. The Co-Chair shall perform the duties of the Chair when she/he is unable to attend to them.
11. All monies belonging to the organization shall be under the jurisdiction of the Treasurer and all cheques shall be signed by him/her and the Chair or Co-Chair, with the approval of a majority of the trustees. The Treasurer shall keep proper book records of all transactions. These records shall be the property of the Society.
12. Any member of the Executive shall have the right to call a meeting of that body at any time and it shall be the duty of the Chair to see that all members shall be duly notified of such meetings at least three days in advance, by sending a notice of intent to the Directors.
13. The Secretary shall keep minutes of both the Executive meetings and the General meetings and shall conduct the correspondence of the Society upon vote of the Executive. These records shall be the property of the Society.
14. The By-laws may be amended by a two-thirds vote of the members present at a properly called meeting. Notice of such meeting and purposes of same shall have been mailed to each member two weeks prior to the date of the meeting. Said notice must state what in particular is proposed to be amended within the By-laws.
15. The Society may acquire, own, dispose of, improve, encumber and convey property, real and personal, for the Society purposes, in conformity with the laws of the Province of British Columbia where the property is situate.
16. It shall be desirous, in order to carry on the various activities of the organization, to have a Social Convenor. This position shall be responsible to the Executive of the organization.
17. The Seal of the Society shall be in the custody of the Secretary and shall not be affixed to any instrument unless the person affixing the seal shall be authorized to do so by a resolution of the Society.
18. The books and records of the Society may be inspected by the members upon written request to the Executive.
